The specific scope, deliverables, timelines, and fees for any engagement will be set out separately in a proposal, quotation, service agreement, or statement of work ("Service Agreement") signed or accepted by both parties. In the event of any conflict between these Terms and a Service Agreement, the Service Agreement will prevail for that specific engagement.
3. Use of Our Website
- You must be at least 18 years old, or engaging on behalf of a legally registered business, to use our website for business enquiries.
- You agree to provide accurate, current, and complete information when filling out any form, including our contact and project brief forms.
- You agree not to misuse the website, including attempting unauthorized access, introducing malicious code, or using the site for any unlawful purpose.

4. Engagement of Services

- Unless otherwise agreed in writing, invoices are payable within the timeframe specified on the invoice or the applicable Service Agreement.
- Late payments may attract interest or result in suspension of services, as specified in the relevant Service Agreement.
- All fees are exclusive of applicable taxes (including GST), unless otherwise stated.
6. Client Responsibilities
For us to deliver services effectively (particularly for IT, e-commerce, interior design, and corporate management engagements), clients are expected to:
- Provide timely access to necessary information, approvals, materials, and personnel.
- Ensure that any content, data, or materials provided to us do not infringe the rights of any third party.
- Communicate requirements clearly and respond to our queries within a reasonable timeframe.
Delays caused by the client in providing required inputs may affect project timelines and shall not be attributable to Rondela Services.
7. Third-Party Vendors and Partners
Certain services—particularly Vendor Management, Logistics & Supply Chain, Franchise Solutions, and Manufacturing Services—may involve coordination with third-party vendors, contractors, or partners. While we exercise reasonable diligence in selecting and managing such parties, we are not liable for any acts, omissions, delays, or failures caused by third parties outside our direct control, except where otherwise agreed in the applicable Service Agreement.
8. Intellectual Property
- All content on this website—including text, graphics, logos, and design—is the property of Rondela Services unless otherwise credited and may not be reproduced, distributed, or used without prior written consent.
- Ownership of deliverables created for a client (such as designs, source code, training materials, reports, or other work products) will be governed by the applicable Service Agreement. Unless otherwise stated, ownership transfers to the client upon full payment of all applicable fees.
- We retain the right to showcase completed work in our portfolio, case studies, and marketing materials unless the client requests confidentiality in writing.
9. Confidentiality
We treat client business information, plans, and data shared with us as confidential and will not disclose it to unauthorized third parties, except:
- As required to deliver the engaged services (for example, coordinating with an approved vendor).
- As required by law or regulatory authority.
- With the client's prior written consent.
Clients are similarly expected to keep any proprietary methodologies, templates, documentation, or materials shared by Rondela Services confidential.
10. Compliance and Regulatory Matters
For Compliance Management and related Corporate Management Services, we provide guidance and support based on applicable laws and regulations as understood at the time of service. This does not constitute legal or statutory advice, and clients should consult qualified legal or compliance professionals for binding regulatory determinations specific to their situation.
11. Limitation of Liability
- To the maximum extent permitted by law, Rondela Services Private Limited's total liability for any claim arising from our services shall not exceed the fees paid by the client for the specific engagement giving rise to the claim.
- We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, business, or data, arising from the use of our services or website.
- We do not guarantee specific business outcomes (such as sales growth, franchise success, or recruitment results), as these depend on factors beyond our reasonable control.
12. Termination
Either party may terminate an ongoing engagement in accordance with the notice period and terms specified in the applicable Service Agreement. Fees for work completed up to the effective date of termination shall remain payable by the client.
13. Disclaimer
